INIMITABLE TERMS & CONDITIONS ​

By booking with Inimitable you agree to abide by these Terms & Conditions. Business Terms & Conditions of Inimitable, acting as an agency.1 DEFINITIONSThe following expressions shall have the following meanings:
1.1 Agent
Inimitable

1.1.1 Inimitable is the trading name of Bernie Hodges.

1.2 Client
Any person or organisation who employs services from the Agent.
1.3 Artist
The performer secured for the Engagement.
1.4 Services
The agency services required to procure an Engagement.
1.5 Engagement
The employment or use of the Artist by the Client, or any third party introduced by the Client, on a permanent or short-term basis under any form of contract or agreement.
1.6 Performance Fee
The monies due to the Artist from the Client for the Engagement including agreed usage fees and term.
1.7 Special Requirements
Specific requirements stipulated by the Agent on behalf of the Artist including accommodation, food or other necessities.
1.8 Terms and Conditions
The terms set out in this document and any subsequent terms agreed in writing by the Agent.
1.9 Agreement
The arrangement for the supply of Artists by the Agent to the Client incorporating these Terms and Conditions.

2 GENERAL
2.1 These Terms apply to the Agreement for the supply of Artists by the Agent and supersede any other documentation or communication between the parties.
2.2 Any variation to these Terms must be agreed in writing by the Agent.
2.3 These Terms and Conditions are available at

2.4 Nothing in these Terms shall prejudice any condition or warranty implied by statute or law.
2.5 The Agent acts as an employment agency and cannot be held responsible for any breach of obligations between the Client and the Artist.

3 SERVICES
Any variation to the Services must be agreed by the Agent in writing.

4 PRICE AND PAYMENT

​4.1 The price for Artists is specified per Engagement at the time of booking and is inclusive of VAT unless otherwise stated.
4.2 The Client has the authority to collect any National Insurance due if applicable.
4.3 The Client shall pay the Agent the Performance Fee within 30 days of receipt of invoice.
4.3a A proportion or full fee may be required in advance for new clients or clients based outside the UK.
4.4 The Client must notify the Agent of any invoice queries within 14 days of receipt.
4.5 All agreed expenses incurred by the Agent or Artist will be charged to the Client at cost.
4.6 The Client shall meet the cost of any agreed Special Requirements.
4.7 Late payments will incur interest at 5% above the Bank of England base rate and a £35 admin fee.
4.8 The Agent may recover reasonable costs incurred in obtaining overdue payment.
4.9 The Agent may withhold services if payment for previous engagements has not been made within 60 days.
4.10 The Client may not withhold or offset any payment due.
4.11 The Agent may vary pricing to reflect:
  • additional services requested by the Client
  • rate increases agreed by the Artist
  • overruns of booked time

5 CANCELLATION
5.1 If the Client cancels an Engagement they will be liable to pay cancellation charges agreed at booking.
5.2 Cancellation within 24 hours of the Engagement will incur a 100% cancellation fee.
5.3 The Client must notify the Agent immediately of any cancellation.
5.4 If the venue provided by the Client prevents the Artist from performing the Client remains liable for the full Performance Fee.
5.5 The Artist may only cancel due to illness or Force Majeure.
5.6 In such cases the Agent may provide a suitable replacement Artist, subject to Client approval.
5.7 If no replacement can be supplied any advance payment will be refunded within 14 days.

6 CLIENT OBLIGATIONS
6.1 The Client agrees to cooperate with the Agent and ensure that communication regarding the Engagement, including revisions or retake requests, is coordinated through the Agent unless otherwise agreed.
6.2 The Client agrees not to recruit Artists introduced by the Agent except through the Agent.
6.3 The Client agrees to treat the Artist professionally and respectfully.
6.4 The Client shall take reasonable steps to prevent the Artist from being threatened, verbally abused or physically abused.
6.5 If such behaviour occurs the Artist may withdraw without penalty and still receive the full Performance Fee.
6.6 The Client is responsible for ensuring venues and equipment comply with health and safety regulations.
6.7 The Client must hold appropriate insurance for the Engagement.
6.8 The Client must comply with all legal obligations relating to the Engagement.
6.9 The Client is responsible for any work permits or approvals required.

7 AGENT OBLIGATIONS
7.1 The Agent will supply Services with reasonable skill and care.
7.2 The Agent will comply with recognised codes of practice and statutory obligations.
7.3 The Agent will arrange permits for artists under 18 where required.
7.4 The Agent will take reasonable steps to ensure professional conduct by Artists but cannot be held responsible for Artist behaviour.
7.5 The Agent will act as negotiator between Client and Artist.
7.6 The Agent will comply with all data protection regulations.

8 CHANGES TO PERFORMANCE SCHEDULE
8.1 Any changes to schedules remain subject to these Terms.
8.2 Where possible changes should be discussed with the Agent.
8.3 Delays not caused by the Artist do not reduce the Performance Fee.
8.4 If a performance finishes early the full booked time remains payable.
8.5 Extensions to the performance time may incur additional fees.
8.6 Rescheduling within 24 hours of the Engagement will incur a full cancellation fee.

9 RE-ENGAGEMENT OF THE ARTIST
All future bookings for the Artist must be negotiated through the Agent while the Artist is represented by the Agent.

10 DIGITISATION, SYNTHETISATION AND PERFORMANCE CLONING
10.1 Recordings may only be used for the purposes outlined in the Agreement.
10.2 The Client may not use recordings to create synthetic voices, machine learning models, or digital clones of the Artist.
10.3 The Client may not transfer recordings or likeness rights to third parties without written consent.
10.4 The Client agrees to securely store all recordings containing the Artist’s voice or likeness.
10.5 Where files are stored in cloud systems they must be protected using appropriate security measures.

11 VOICE RECORDING DELIVERY, APPROVAL & RETAKES
11.1 Clients must review recordings within 5 working days of delivery.
11.2 Any technical issues, misreads, or performance concerns must be reported within this period.
11.3 Minor retakes required due to misreads or technical issues will normally be provided without additional charge if requested within the approval period.
11.4 Retakes resulting from:
  • script changes
  • revised direction
  • editorial changes
  • delayed feedback
may incur an additional fee.
11.5 All requests for retakes or revisions should be coordinated through the Agent.
11.6 Where a Client contacts an Artist directly regarding revisions or retakes, the Client agrees to notify the Agent so the process can be properly managed.
11.7 Retakes requested after the approval period may require a new booking or additional fee.

12 USAGE AND LICENSING
12.1 Unless otherwise agreed in writing, the Client is granted a non-exclusive licence to use the Artist’s recording only for the purpose and duration specified at the time of booking.
12.2 The licence granted to the Client is limited to the agreed usage, territory and duration confirmed in the booking agreement or invoice.
12.3 Additional uses including but not limited to:
  • extended campaign duration
  • additional territories
  • new media platforms
  • additional edits or versions
  • reuse in new productions
must be negotiated with the Agent and may incur additional fees.
12.4 The Client may not reuse or repurpose the recording outside the scope of the original Agreement without written consent.
12.5 Unless otherwise agreed the Artist retains intellectual property rights in their performance.

12.6 Charitable and Non-Profit Engagements
Where an Engagement is undertaken for a registered charity, educational organisation, or non-profit initiative, the Agent may at its discretion agree alternative fees, usage terms or licensing arrangements.
Any such variations must be confirmed in writing and apply only to the specific Engagement agreed.
​Nothing in this clause obliges the Agent or Artist to provide services free of charge or at reduced rates unless explicitly agreed.


12.7 Political Use
The Client may not use the Artist’s voice, likeness or performance in connection with political advertising, political campaigning, lobbying activity, or party-political messaging without the prior written consent of the Agent and Artist.
Where such use is proposed, a separate agreement must be negotiated in writing.

13 INIMITABLE PRODUCTION TERMS
13.1 Production quotes are provided on a project basis.
13.2 Opening hours are 10am–6pm Monday to Friday.
13.3 Studio bookings have a minimum duration of 1 hour.
13.4 Time is charged in 30 minute increments thereafter.
13.5 Pencil bookings may be held provisionally but must be confirmed when requested.
13.6 If confirmation is not received within 24 hours the booking may be released.
13.7 Clients must supply picture files before recording if working to picture.
13.8 Cancellations or rescheduling require 24 hours notice.
13.9 Late cancellations will incur the full booked cost.

14 TERMINATION
14.1 The Agreement continues until Services are delivered or terminated.
14.2 The Agent may terminate if payment remains outstanding after 90 days.
14.3 Either party may terminate if the other commits a material breach.
14.4 On termination the Client must pay for work completed and expenses incurred.

15 WARRANTY
Both parties warrant they have authority to enter into this Agreement.

16 LIMITATION OF LIABILITY
Nothing excludes liability for death or personal injury caused by negligence.
The Agent’s liability shall not exceed the value covered under the Agent’s professional indemnity insurance.

17 INDEMNITY
The Client shall indemnify the Agent against claims arising from the Client’s breach of these Terms.

18 FORCE MAJEURE
Neither party is liable for delays caused by events beyond their control including natural disasters, war, strikes or equipment failure.

19 ASSIGNMENT
The Client may not assign their rights under this Agreement without written consent.

20 THIRD PARTY RIGHTS
These Terms do not confer rights on third parties.

21 SEVERANCE
If any clause is held invalid the remaining clauses remain in force.

22 WAIVER
Failure to enforce a clause does not waive the right to enforce it later.

23 NOTICES
Notices may be served by email or post and will be deemed received on the day sent.

24 ENTIRE AGREEMENT
These Terms supersede all previous agreements or discussions.

25 GOVERNING LAW
These Terms are governed by the laws of England and Wales.
